The meeting at the LJVMA office was designed to discuss seemingly innocuous topics such as possible revisions to the bylaws and operating procedures and to set the agenda for the next full board meeting Wednesday, Feb. The bylaws are supposed to be reviewed annually, with changes made as deemed necessary. Nevertheless, changes have not been made to the bylaws since Rudick was hired in However, Anderson said the typical process is to form a bylaws committee and have it draft changes and submit them to the board for review and approval.

He accused Rudick of yelling at a merchant during an event and acting in a way that prompted some board members to step down.
The board experienced a months-long wave of resignations beginning in October , but none of those members except Anderson publicly cited conflicts with Rudick. She noted that she has a performance review every year and is continuously being looked at by the board and said those issues were not raised.
Anderson also alleged a conflict of interest between Rudick and Johnson because Rudick is a client of his for her personal finances. Johnson is an investment adviser at Mundoval Capital Management.
